COMPANY REDOMICILIATION

          In a fast-shifting international political and regulatory landscape; the appeal and frequency of cross-border mergers and acquisitions continues to increase. In recognition of Malta’s strong historic and current UK ties; Maltese companies often hold and manage UK and other non-EU subsidiaries, especially in relation to activities in the European Union, and/or the Commonwealth and beyond. In parallel; as brexit becomes increasingly clear; more UK-International companies are moving their corporate and fiscal residence to Malta, greatly facilitating their EU continuity and development. 

          The drafting of exit, and company establishment or re-domiciliation terms and documentation; is an area where our expertise is further enhanced by a trusted global alliance of independent professional firms, many of whom, we have been working with since 2004, and can assist with determining whether to wind-up and start afresh, or re-domicile. Our team is then able to coordinate and implement the management all relevant legal, regulatory, tax, business continuity and IP considerations, including preparation and follow-through of all regulatory and registration requirements.

          It is a relatively simple process to re-domicile into Malta; a company incorporated elsewhere, via the Continuation of Companies Regulations (Legal Notice 344 of 2002 as amended by Legal Notice 352 of 2003 and 181 and 186 of 2006) enabling a foreign company (incorporated or registered under the laws similar to a Malta company), by to request the Registrar for registration as continued in Malta, provided that the laws of the foreign country so permit, and provided that the company is authorised to do so by its constitutive documents. 

 

Following such preliminary qualification, one’s application must include the following:
  1. the resolution or equivalent authorising registration as being continued in Malta.
  2. a copy of the revised constitutive document of the foreign company;
  3. a certificate of good standing issued by the foreign competent authority;
  4. a declaration signed by at least two directors of the foreign company confirming:
    • foreign company name and name under which it proposes to be continued;
    • the jurisdiction under which it is incorporated and date of incorporation;
    • the decision to have the foreign company registered as continuing in Malta;
    • evidence that foreign company has notified its authority of intended continuing;
    • evidence of no proceedings for breach of the law;
  5. a declaration signed by at least two directors confirming the solvency; 
  6. a list of directors, and the company secretary or of the persons vested with the administration or the representation of the foreign company; 
  7. any other evidence or info which the Registrar may require;
  8. Confirmation of payment of the relative fees.
